{"id":1797,"date":"2022-12-01T20:21:48","date_gmt":"2022-12-01T19:21:48","guid":{"rendered":"https:\/\/www.creactivesgroup.com\/?p=1797"},"modified":"2025-07-02T13:05:17","modified_gmt":"2025-07-02T13:05:17","slug":"communications-regarding-the-assignment-of-bonus-shares-2","status":"publish","type":"post","link":"https:\/\/www.creactives.com\/it\/2022\/12\/01\/communications-regarding-the-assignment-of-bonus-shares-2\/","title":{"rendered":"Communications regarding the assignment of bonus shares"},"content":{"rendered":"<p><i><span style=\"font-weight: 400;\">Verona, December 1<\/span><\/i><i><span style=\"font-weight: 400;\">, 2022<\/span><\/i><span style=\"font-weight: 400;\">. <\/span><b>Creactives Group S.p.A.<\/b><span style=\"font-weight: 400;\"> (\u201c<\/span><b>Creactives Group<\/b><span style=\"font-weight: 400;\">\u201d or the \u201c<\/span><b>Company<\/b><span style=\"font-weight: 400;\">\u201d) (ISIN<\/span><b> IT0005408593<\/b><span style=\"font-weight: 400;\"> &#8211; ticker: <\/span><b>CREG<\/b><span style=\"font-weight: 400;\">), an international company that develops <\/span><b>Artificial Intelligence<\/b><span style=\"font-weight: 400;\"> technologies to address real-life business problems in the Supply Chain, announces that on November 29, 2022, the resolution of the Shareholders\u2019 Meeting held on November 24, 2022 on the revision of the terms and conditions for the assignment of bonus shares was registered with the Verona Companies Register.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">According to the resolution of the Shareholders\u2019 Meeting, bonus shares will be awarded to shareholders who have continuously held the shares arising from the conversion of the Balaban Technology Convertible Bond Loan (\u201c<\/span><b>POC<\/b><span style=\"font-weight: 400;\">\u201d) from the date of the beginning of trading on the Vienna Multilateral Trading System (May 20, 2020) until the fourth business day after the registration of the resolution of the Shareholders\u2019 Meeting passed on November 24, 2022 (November 29, 2022), and therefore until December 5, 2022 (record date).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Instead, the assignment of bonus shares will be made on the business day following the record date, and therefore on December 6, 2022, according to the ratio of one bonus share for every share subscribed as part of the capital increase to service the POC conversion.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">It should be noted that the issuance of the bonus shares will be carried out without giving rise to any increase in capital, with the effect of reducing the implied accounting parity of the shares that will be outstanding at the time of the bonus assignment.
