The Ordinary and Extraordinary Shareholders\u2019 Meeting of <\/span><b>Creactives Group S.p.A.<\/b><span style=\"font-weight: 400;\"> (\u201c<\/span><b>Creactives Group<\/b><span style=\"font-weight: 400;\">\u201d) (ISIN<\/span><b> IT0005408593<\/b><span style=\"font-weight: 400;\"> &#8211; ticker: <\/span><b>CREG<\/b><span style=\"font-weight: 400;\">), an international company that develops <\/span><b>Artificial Intelligence<\/b><span style=\"font-weight: 400;\"> technologies to address real-life business problems in the Supply Chain, today convened at the local office in Verona, Via Enrico Fermi 4 and via teleconference as indicated in the notice of call of the Meeting which was published on \u201c<\/span><b>Gazzetta Ufficial<\/b><b>e<\/b><span style=\"font-weight: 400;\">\u201d, Parte II n. 118 of <\/span><span style=\"font-weight: 400;\">8 October 2020 and on the Company\u2019s website <\/span><a href=\"https:\/\/www.creactivesgroup.com\/\"><span style=\"font-weight: 400;\">https:\/\/www.creactivesgroup.com\/<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Ordinary Shareholders\u2019 Meeting of Creactives Group S.p.A. has:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">approved the Financial Statements as at 30 June 2020, allocating a profit of Euro 2.681 to legal reserve and Euro 50.932 to extraordinary reserve;\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">appointed the new Statutory Auditors &#8211; Franco Zentilin, Gianfranco Favaro, Chiara Baldi, Chiara Benciolini, Giancarlo Palvis &#8211; to cover current vacancies in the Board and determined the related compensation;<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">appointed BDO Italia SpA as an external auditor for the period 2021-2023 and determined the related compensation;\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">authorized the Board of Directors to purchase and allocate own shares;<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">determined the<\/span><span style=\"font-weight: 400;\"> compensation of the Board of Directors.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The Extraordinary Shareholders\u2019 Meeting of Creactives Group S.p.A. has:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">authorized the Board of Directors, in accordance with Articles 2443 and 2420-ter of the Italian Civil Code, to increase the share capital and issue convertible bonds, up to a maximum of Euro 20.000.000,00 (twenty million\/00), including with the exclusion of option rights or as a capital increase without contribution by the shareholders, also in accordance with Article 2441, paragraphs 4, 5 and 8, and Article 2349 of the Italian Civil Code;<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">transferred the registered office in Piazzale Luigi Cadorna n.6 &#8211; 37126 Verona<\/span><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">established <\/span><span style=\"font-weight: 400;\">amendments to the Articles of Association following the resolutions of the Shareholders\u2019 Meeting.<\/span><\/li>\n<\/ul>\n<p><b><br \/>\n<\/b><b>Availability of related documentation<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The minutes of the Shareholders\u2019 Meeting will be made available to the public on the Company\u2019s website <\/span><a href=\"https:\/\/www.creactivesgroup.com\/\"><span style=\"font-weight: 400;\">https:\/\/www.creactivesgroup.com\/<\/span><\/a><span style=\"font-weight: 400;\"> to the extent and when established by current laws and regulations.<\/span><\/p>\n<p><a href=\"https:\/\/www.creactives.com\/wp-content\/uploads\/2020\/10\/CREG-Press-release28102020.pdf\">DOWNLOAD THE PRESS RELEASE<\/a><\/p>\n<p><a href=\"https:\/\/www.creactives.com\/wp-content\/uploads\/2020\/11\/doc12361820201029194830_ordinary.pdf\">DOWNLOAD THE \u201cVERBALE DELL\u2019ASSEMBLEA ORDINARIA DEL 28 OTTOBRE 2020\u201d<\/a><\/p>\n<p><a href=\"https:\/\/www.creactives.com\/wp-content\/uploads\/2020\/11\/ATTO.pdf\">DOWNLOAD THE \u201cVERBALE DELL\u2019ASSEMBLEA STRAORDINARIA DEL 28 OTTOBRE 2020\u201d<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Bologna, October 28, 2020.
