Verona, December 31, 2024. Creactives Group S.p.A. (“Creactives Group” or the “Company”) (ISIN IT0005408593 – ticker: CREG), an international company and Innovative SME, listed on Euronext Growth Milan – Professional Segment (“Euronext Growth Milan Pro”), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, following what was last communicated on December 30, 2024, announces that today the merger by incorporation of Creactives S.p.A. (“Incorporated”) into Creactives Group (“Merger”) took effect as a result of the last of the registrations of the deed of Merger at the competent Verona Companies Register.
Consequently, the Merger takes effect, pursuant to Article 2504-bis, paragraph 2, of the Italian Civil Code, as of today’s date. Pursuant to Article 2504-bis, paragraph 3, of the Italian Civil Code, the Merged Company’s operations will be charged to the Company effective July 1, 2024. The same effective date is, moreover, assumed for income tax purposes.
