Verona, May 14, 2025. Creactives Group S.p.A. (“Creactives Group” or the “Company”) (ISIN IT0005408593 – ticker: CREG), an international company and fiscally eligible Innovative SME, listed on Euronext Growth Milan – Professional Segment (“Euronext Growth Milan Pro”), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, following the announcements made on December 10 and 11, 2024, hereby announces that, on today’s date, the Company’s Board of Directors met and resolved to initiate an Accelerated Bookbuilding (“ABB”) procedure in order to place a new tranche of the capital increase approved by the Board of Directors on December 10, 2024 (“Capital Increase”).
The ABB involves a maximum of 40.000 New Shares offered for subscription at a price of Euro 2,50 per New Share, exclusively to qualified and institutional investors, as defined in Article 2, letter e) of Regulation (EU) 2017/1129 of the European Parliament and of the Council of June 14, 2017.
The ABB will commence immediately and will end on May 16, 2025, unless closed early, which will be communicated by the Company. The Company will promptly announce the outcome.
It should be noted that, given the divisible nature of the Capital Increase, the Company reserves the right to open, by the final subscription deadline (June 30, 2025), additional placement periods for the remaining New Shares, even following the outcome of the ABB launched today.
The New Shares will be admitted to trading on Euronext Growth Milan Pro, on the same terms as the shares already in circulation and in compliance with applicable laws and regulations.
As part of the transaction, the Company is being assisted by ADVANT Nctm as legal advisor and CDI Global Italy as Financial Advisor.
